CPAC BYLAWS
COMMUNITY PARENT ADVISORY COUNCIL

STANDARDS OF OPERATION
ARTICLE 1               NAME
The name of this organization shall be Community Parent Advisory Council, also known as “CPAC”.

ARTICLE 2               MISSION
Our mission is to promote and support the safety and well being of our students by utilizing the team approach.  This includes,
parents, students, teachers and staff to provide services needed to create a family atmosphere, to enable the students of the  
Preparatory Charter School of Mathematics, Science, Technology and Careers High School (Prep Charter High) to develop and
grow within the school community.

ARTICLE 3               BOARD OF TRUSTEES MEMBERSHIP
A full CPAC Board of Trustees will have eleven (11) voting members.  The Board aims to ensure that the diversity of the school
is reflected within this committee.

Members of the CPAC Board of Trustees shall serve a two-year term from September until June.  When the two-year term is up
in June, the Board Members shall continue to serve until the new board members are voted in September.

Six members of the Board shall serve a term of one year.  Five members of the Board will serve an initial term of two years.  
Thereafter, all Board members will serve a two-year term beginning September 1st of each year.

ARTICLE 3.1            TYPES OF MEMBERSHIP
There shall be two types of memberships:  Parent Members and Board Members.

    a)      Parent memberships shall be open to all Parents/Guardians whose children are currently attending Prep Charter
    High and are in good standing with the school, as well as membership dues.  Parent/Guardian members have the right to
    speak at the assembly, but not vote at the Board level.  All parent members are invited to attend the Parent Meetings,
    which are held on the second Tuesday of every month at 6:00 PM.  All parent members can be active in subcommittees
    and vote within the subcommittee decisions.

    b)      Board membership shall be open to all parents/guardians whose children are currently attending Prep Charter High
    and are in good standing with the school and parent membership dues or persons who are active in our school
    community.  Board members are voted in by conducting an election.  Those interested in becoming members must send a
    letter of intent.  The letter of intent (nomination) will be reviewed and voted on by the Membership at the general meeting
    and/or ballot response. A general meeting of all parents will be held in June of each year to elect members whose term will
    expire.  Newly elected members will take office beginning September 1st of each year.  Special elections will be held as
    needed to fill vacancies.  All elections and candidate profiles must be advertised one month prior to being held.

ARTICLE 3.2            PLACE AND TIME OF MEMBERSHIP ELECTIONS
All Board of Trustees general election will be held on the second Tuesday of June each year.  The elections shall take place at
Prep Charter High School, 1928 Point Breeze Avenue, Philadelphia, PA 19145.

ARTICLE 3.3            ROLES AND RESPONSIBILITIES OF CPAC BOARD MEMBERS

    a)         Attend ten out of the twelve yearly board meetings per year.

    b)         Participate in sub-committee(s) when requested.

    c)         Be punctual, prepared and ready to vote at meetings.

    d)         Complete assigned tasks in a satisfactory way.

    e)         Maintain a level of availability for committee and functions.

    f)          Comply with governance meeting principles as defined in Article 10.

    g)         Support and assist CPAC during all sponsored events.

ARTICLE 3.4            TERMS
Board Members shall serve two-year terms as voting members.  Voting members may choose to be re-elected as set forth in
Article 3.1.

ARTICLE 3.5            RESIGNATIONS, VACANCIES, LEAVE OF ABSENCE POLICY AND REQUEST TO BE REMOVED

    a)      If a Board Member wishes to resign from their current position, they must submit a letter to the President.  Such
            resignation shall take effect upon receipt.  If no time is specified, then it shall take effect upon receipt by the CPAC
            President.

    b)      Vacancies on the CPAC shall be filled with remaining nominations from the original ballot.

    c)      Vacancies shall be filled in accordance with Article 3.1(b).

ARTICLE 3.6            REMOVAL FROM THE BOARD OF TRUSTEES
Removal from the CPAC will result if any of the following occurs:

    a)      Two consecutive absences or three absences during a twelve-month period.

    b)      Malfeasance (i.e., intentional wrong-doing or misconduct).

    c)      Working against the mission or principles of the Board.

    d)      Failure to conduct themselves in a respectful manner while attending CPAC meetings and/or events.

ARTICLE 3.7            REMOVAL PROCESS
The following procedures must be adhered to prior to removing a Board Member:

    a)      CPAC Board Members must clearly articulate the reasons for the removal and the situation(s) surrounding
             the conflict with a particular Board Member(s).

    b)      The accused member(s) shall be notified in writing of the action.

    c)      The accused member(s) must be given the opportunity to respond to charge(s) and may present his/her               
             perspective on the issue(s).

    d)      Eligible voting CPAC members vote on possible removal.  A two-third (2/3) majority is necessary to remove a
            Board Member(s).

ARTICLE 3.8            REPLACEMENTS
Replacement of Board Members will be in accordance with Article 3.5.

ARTICLE 4               MEETINGS
There shall be three types of meetings during the year:

    a)      Parent Meetings - held once a month.

    b)      Board of Trustee Meetings - held once every three months and/or when necessary.

        c)      Sub-committee Meetings - held whenever necessary for CPAC events.

ARTICLE 5               QUORUM
To vote on any issue, six (6) Board Members must be present to be a quorum.

ARTICLE 6               MEETING STRUCTURE

    a)      The date, time and location of the meeting will be public information.

    b)      The Chair or their designee shall develop the agenda of the meeting.

    c)      Committees shall hold additional sub-committee meetings or special meetings, when necessary.

ARTICLE 7               SUB-COMMITTEES

    a)      The President of CPAC shall have the authority to create sub-committees.

    b)      Activities of sub-committees shall be reported at the general monthly CPAC meetings.

    c)      Sub-committees have the power to recommend, design and develop projects to the CPAC Board of Trustees for
            their approval.

    d)      Sub-committees will follow the ground rules and structure of the CPAC Board, except to allow non-voting members to
            vote at the sub-committee level.

    e)      Members of sub-committees can be voting and non-voting members of CPAC.

    f)       The sub-committee chairs shall express majority and minority opinions to CPAC Board.

ARTICLE 8              PRINCIPLES GOVERNING MEETINGS
CPAC and its committees will follow an inclusive agenda by:

    a)      Giving all members the opportunity to speak.

    b)      Allocating adequate time for members to comprehend and discuss information.

    c)      Ensuring that necessary follow-up occurs for questions which cannot be answered at the meetings.

    d)      CPAC members are required to be present, fully participate and stay for the duration of the meeting.

    e)      In addition, Board Members will adhere to the meeting agenda, limit distracting side conversation and respect the
            actions and perspective of others.

ARTICLE 9               ELECTION OF BOARD MEMBERS DURING AN ELECTION (EVERY TWO YEARS)
In June of an election year, one meeting will be dedicated to elections.  Two months prior to the meeting, notification shall go to
all parents asking for nominations to fill expired terms.  Nominations will be recorded at the meetings prior to elections.

ARTICLE 9.1            OFFICERS OF THE BOARD TRUSTEES
The CPAC Board will be lead by Executive Officers.  These elected officers shall serve for a period of two (2) years.  Identified
positions shall include:  President, Vice President, Secretary, Second Secretary, Treasurer, Second Treasurer, Sergeant-at-
Arms and four General Board Members.  These positions will be filled by the Board in accordance with Article 3.1(b).

ARTICLE 10              RESPONSIBILITIES OF THE PRESIDENT

    a)      Preside at all meetings and act as ex-officio member of all sub-committees, and identify a representative who will      
            preside when he/she is absent.

    b)      Operate as a representative of the CPAC, when necessary, ensuring that the committee is adequately represented
            when giving an opinion, concerns and recommendations.

    c)      Ensure that all newly elected Board Members become familiar with CPAC.

    d)      Preside over the election of officers.

    e)      Oversee meetings with other sub-committees.

        f)       Sit as a voting member of CPAC.

ARTICLE 11              RESPONSIBILITIES OF THE VICE PRESIDENT

    a)      Assist the President to fulfill the tasks as defined in Article 10.

    b)      Develop their knowledge and capacity, so that, in turn, they are able to operate in the President’s capacity.

    c)      Sit as a voting member of CPAC.

ARTICLE 12              RESPONSIBILITIES OF THE SECRETARY AND SECOND SECRETARY

    a)      Work with the President to record and document meetings and the activities of CPAC.

    b)      Assist in the notification process of CPAC members about upcoming events and meetings.

    c)      Record minutes at CPAC meetings and ensure information is accurate.

    d)      Email minutes and upcoming agendas to all members.

    e)      Maintain and update the CPAC website, www.prepcharterparents.com, consistently throughout the year.

    f)       Monitor the CPAC voice mail and forward messages to appropriate Board Members.

    g)      Sit as a voting member of CPAC.
         
ARTICLE 13              RESPONSIBILITIES OF THE TREASURER AND SECOND TREASURER

    a)      Report to the committee on all financial activities at the regular monthly meetings.

    b)      Provide financial reports at each meeting and when required by President.

    c)      Ensure that strategies for fund-raising meet with his/her approval.

    d)      Ensure that all financial decisions are sound.

    e)      Monitor the CPAC account consistently.

    f)       Sit as a voting member of CPAC.

ARTICLE 14               RESPONSIBILITIES OF THE SERGEANT-AT-ARMS

    a)      Ensures that all meetings are conducted safely and orderly.

    b)      Exercises the right to remove any member present at CPAC meeting, including Board Member(s) and visitors, who
            violate any article set forth in the by-laws.

    c)      Sit as a voting member of CPAC.

ARTICLE 15               RESPONSIBILITIES OF THE GENERAL BOARD MEMBERS

    a)      Represent the committee at all CPAC meetings.

    b)      Represent CPAC at all functions, or when necessary, as determined by the Chairperson.

    c)      Sit as a voting member of CPAC.

ARTICLE 16                SUNSHINE LAW      
A calendar of proposed meeting dates will be posted in the school office, posted on the CPAC website, given to each
parent/guardian and advertised in the local paper.

ARTICLE 17                PARENTAL MINIMUM REQUIREMENTS
A parent/guardian of each household must participate in ten (10) hours annually in school related activities.  These are counted
as follows: two (2) hours counted for each report card conference (there are two); one (1) hour for back to school night; and five
(5) scheduled volunteer hours.  Throughout the school year, parents will have the option of selecting projects and activities from
a list.  In lieu of the five (5) volunteer hours, parents may provide a donation of $20.00 per year / per household to the school’s
parent organization, CPAC.
